Starting a Business in Vadodara: The Registration Checklist
Beyond incorporating, a new business in Vadodara has to deal with the GST department, the municipal corporation, the Gujarat commercial tax authorities and, depending on what you do, the pollution control board and the food safety authority. Most of it is straightforward if you do it in the right order. This is that order.
Why it matters
Registrations Have an Order
Several of them depend on each other. Doing them out of sequence means going back and redoing paperwork.
Almost everything needs PAN first
GST, bank accounts and most licences are issued against the entity's PAN, so the structure comes before anything else.
Some need the bank account
GST requires bank details to be furnished within 30 days, and a company must file its commencement declaration after the subscription money is deposited.
Premises documents get used repeatedly
The same rent agreement, electricity bill and no-objection letter are needed for GST, the Shops Act and the trade licence. Get them right once.
Some have deadlines from day one
The Shops and Establishments requirement runs from when you start operating, not from when you get around to it.
The order to do things in
Decide the structure and register the entity
Proprietorship, partnership, LLP, OPC or private limited company. Our comparison of the five options covers how to choose.
Get PAN and TAN
Companies and LLPs receive these through the incorporation process. A proprietor uses their own PAN, and applies for a TAN separately if TDS obligations will apply.
Sort out the premises paperwork
Registered rent agreement, the owner's electricity bill or property tax receipt, and a no-objection certificate where the premises belong to a family member.
Open the current account
In the entity's name. A company must also deposit the subscription money and file the commencement declaration within 180 days.
Register for GST
Compulsory from the first rupee for inter-state supplies of goods and marketplace sellers, and above the turnover limits for everyone else.
Complete the Gujarat registrations
Shops and Establishments, professional tax, and the municipal trade licence where applicable.
Add sector licences and MSME registration
Food, factory, pollution, import-export and any professional licence your activity requires.

GST registration
Required above ₹40 lakh turnover for goods and ₹20 lakh for services in Gujarat, and from the first rupee for inter-state supplies of goods, marketplace sellers and reverse charge cases. There is no government fee. See our GST registration guide for the documents.
Udyam registration for MSMEs
Free, online, and based on self-declaration with your PAN and Aadhaar. It gives access to priority sector lending, government tender preferences and the protection of the 45-day payment rule against your customers. Worth doing on day one.
Current account
Keep business and personal money separate from the start. Mixing them causes disallowances at audit and makes every reconciliation harder.
TAN, if you will deduct TDS
Companies, firms and LLPs need it from the first payment. Proprietors need it once their books become subject to tax audit.

Businesses regularly register for one and miss the other. Enrolment covers the entity's own liability. Registration covers tax you deduct from employees' salaries and pay over. If you have staff, you generally need both.
Sector-specific licences
- Food businesses: an FSSAI registration or licence, with the category depending on turnover and scale. Restaurants, caterers, manufacturers, packers and even small traders in food products all need one.
- Factories: a licence under the Factories Act where the prescribed number of workers and power usage thresholds are met, from the Gujarat factory inspectorate.
- Polluting activities: consent to establish and consent to operate from the Gujarat Pollution Control Board. This applies to a wider range of manufacturing than owners expect, and consent to establish is meant to be obtained before setting up, not afterwards.
- Import or export: an Importer Exporter Code from the DGFT. Exporters should also file a letter of undertaking under GST for each financial year.
- Drugs, chemicals, weights and measures: licences under the respective laws, each with its own inspectorate.
- Trademark: not a registration requirement, but register your brand name early. A name cleared by the MCA is not automatically free of trademark conflict.

Registration thresholds are counted on the total number of persons employed, including contract and casual workers, not just those on your payroll. Once you cross a threshold you remain covered even if the number later falls.
Setting up to stay compliant
- Choose accounting software before the first invoice, not after fifty of them
- Set an invoice series that runs continuously through the financial year and resets on 1 April
- Collect PAN and, for vendors, GSTIN at the time you create each ledger
- Diarise the recurring dates: TDS on the 7th, GSTR-1 on the 11th, GSTR-3B on the 20th, PF and ESI mid-month
- Keep the incorporation documents, licences and their renewal dates in one place
- Note the expiry dates of every licence the day it is issued, since renewals are far easier than restorations
